Terms of sale

These Terms and Conditions of Sale are concluded between THE GREEN SUITS Association, hereinafter referred to as "the Association", and individuals wishing to make a purchase, hereinafter referred to as "the Buyer", on the websites shop.thegreensuits.fr or shop.greensuits.fr, hereinafter referred to as "the Site".

The validation of the order on the Site signifies the Buyer's full and unconditional acceptance of these Terms and Conditions of Sale, to the exclusion of any other documents such as the Buyer's printouts, leaflets, catalogs, promotional materials issued by the Association, which are for indicative purposes only.

In the event of the cancellation of any clause in these Terms and Conditions of Sale, the other clauses remain fully applicable in their entirety.

Article 2: Products

The products offered for sale by the Association are those listed on the Site on the day of the Buyer's consultation, subject to availability, hereinafter referred to as "the Product(s)".

Each Product offered online is accompanied by a description provided by the Association, including technical details, photographs, illustrations, etc. These characteristics of the Products, descriptive notices, photographs, or illustrations on this Site are not contractual.

In any case, it is noted that the Association does not participate in the manufacturing of the Products sold, as the handling is the sole responsibility of the supplier.

Article 3: Orders

The Buyer declares to be fully capable of placing the order, i.e., being 18 years of age or older and not under guardianship, curatorship, or legal protection.

The Buyer places the order according to the instructions provided on the Site. The Buyer undertakes to provide all requested information and ensures its accuracy. In any case, the Buyer is responsible for the information entered during the order process. In the event of an error in the recipient's details, the Association cannot be held responsible for delays caused in the delivery of the Products. Re-shipping costs will be borne by the Buyer.

The validation of the order by the Buyer formalizes the definitive sales contract concluded with the Association, and the order will be confirmed by email.

Product availability will be definitively confirmed upon shipment confirmation, which will be sent to the Buyer by email.

If any ordered Product is unavailable during order preparation, the Association will contact the Buyer by email to inform them of the delivery timeframe. The Buyer must agree or disagree with this new delivery date within 15 days. Failure to respond within this period will be considered as acceptance of the new delivery timeframe.

Additionally, the Association reserves the right to cancel the order until shipment confirmation in case of out-of-stock or insufficient stock. In such cases, the Association will refund the Buyer directly to their bank account within 15 days from cancellation confirmation.

Article 4: Pre-orders

The Association reserves the right to offer Products for pre-order on the Site. By validating the pre-order, the Buyer definitively formalizes the remote sales contract for the pre-ordered Products. These pre-orders will be processed in the order of their validation.

Payment for pre-ordered Products will be made under the same conditions as regular orders, according to the terms outlined in Articles 4 and 5.

At the time of pre-order validation, the Buyer will be informed of the expected availability dates for the Products. The Association cannot be held responsible for any delays due to circumstances beyond its reasonable control, such as production delays, supply chain issues, or force majeure events.

The Buyer has the option to cancel the pre-order until the shipment confirmation. In this case, the Association will refund the Buyer directly to their bank account within 15 days from cancellation confirmation.

Article 5: Price

The prices of the Products are indicated in Euros (€), all taxes included (TTC), excluding potential delivery fees. In accordance with Article 261, 9° of the French General Tax Code, sales by the Association are exempt from VAT.

Products are invoiced based on the prices in effect at the time of order validation. The final amount of the order, including all fees, is displayed at the end of the order process before validation. The price charged to the Buyer is the one specified in the order confirmation email.

The Association reserves the right to set preferential prices for its Members and to modify prices at any time. However, no price modification can be applied after the order is placed.

Article 6: Payment

Orders must be paid in Euros (€) in full at the time of purchase. Payment must be made during the order process via the secure payment platform STRIPE. This platform accepts various payment methods, including but not limited to: credit cards, Apple Pay, Google Pay, Bancontact, Link.

Until the full payment is received, the Association remains the owner of the delivered Products and reserves the right to reclaim the Products by any means available in the event of non-payment.

Article 7: Delivery or Pickup

7.1. Pickup

During the order process, the Buyer may choose to pick up the ordered Products at an event organized by the Association. In this case, no delivery delay can be attributed to the Association, as the organization of the events is outside its control.

No shipping or pickup fees will be charged to the Buyer.

7.2. Delivery

In addition to event pickup, the Buyer may choose delivery to a collection point in the following locations:

Products from the Association can be shipped to mainland France, Corsica, Belgium, and Switzerland. The Association reserves the right to cancel any order with a delivery address outside these areas until the shipment confirmation. However, the Buyer and the Association may agree on a delivery location outside these areas for an additional shipping charge. In the event of cancellation, the Association will refund the Buyer within 15 days from cancellation confirmation.

Delivery is made to the collection point chosen by the Buyer during the order process. The Buyer can track their order on the Site. Once shipped, the Buyer can track the delivery using the tracking number provided by the Association or the carrier's website.

Delivery is considered complete when the Buyer retrieves the Products at the collection point. Transport and delivery are handled by an independent company. The Buyer agrees to sign for the Products if necessary. If the Buyer does not retrieve the Products within the specified time, the parcel will be returned to the Association. The Buyer will be charged for storage, re-delivery, and re-shipping costs based on the rates listed on the Site.

Deliveries are made within the timelines mentioned on the Site, starting from the shipment confirmation email. In case of a foreseeable delay, the Association will inform the Buyer as soon as possible and provide an estimated additional delivery time. In any case, the Association commits to delivering the Buyer within 60 days from the order confirmation. If this period is exceeded by more than 7 days, except in cases of force majeure, the Buyer may cancel the electronic sales contract by email to sav@thegreensuits.fr. In this case, the Association will refund the Buyer within 30 days from receipt of the email. If the Buyer has received the product in the meantime, they must return the Product to the Association as soon as possible.

The Buyer must inspect the packaging and Products upon receipt.

If the Buyer notices any damage, missing items, or delays during transport, they must make clear and precise reservations on the delivery receipt or transporter's document. Complaints regarding apparent defects or non-conformity of the delivered Products must be made to the Association by email within 5 calendar days from delivery. The Buyer must provide evidence of the defects or issues, including sending a report to the Association. After this 5-day period, no further claims will be accepted. The Association will not be held responsible for delays or failures due to force majeure or the Buyer's fault.

Article 8: Right of Withdrawal

In accordance with Article L. 121-20 of the Consumer Code, the Buyer has 15 days from the receipt of the ordered Products to exercise their right of withdrawal without justification or penalty.

The withdrawal request must be sent by email to sav@thegreensuits.fr. The Buyer must return the Products to the address indicated by the Association in Article 1, within the withdrawal period, in their original packaging, unused, in perfect condition, without any marks or damage, and with all accessories (including instructions) and any gifts offered. Return shipping costs are the Buyer's responsibility. If the return conditions are not met, the Association may deduct from the refunded amount a proportion of the sale price for missing products or damaged items. The Association will refund the Buyer directly to their bank account within 30 days of receiving the withdrawal request and subject to the return of the Products.

Article 9: Buyer's Obligations

The Buyer is responsible for using the Products in accordance with the safety instructions and recommendations provided on the product description on the Site or on the packaging or user manual, if applicable.

The Buyer must maintain the Product in good condition and use it according to its intended purpose, following any applicable standards and manufacturer instructions. The Buyer is advised not to modify the Product or install accessories or other devices.

The Association is not responsible for defects or damages caused by abnormal or improper storage, maintenance, installation, or use of the Products after delivery, unless the Association has failed in its legal obligations as the seller.

Article 10: Liability

The Association is not liable for non-performance due to stock shortages, force majeure, disruptions, or strikes, including postal services and transportation/communication services.

The Association is not responsible for any damages to persons or property resulting from improper or misused Products.

The Association is also not liable for damages due to:

  • Normal wear and tear of the Products;
  • Negligence, lack of monitoring, or maintenance;
  • Modifications, additions, or repair attempts by a third party or the Buyer;
  • Abnormal circumstances.

The Buyer must provide evidence of the defects or issues. The Association may ask for the return of the affected Product to verify the issues. If recognized, the Association’s obligation is limited to replacing the defective Products.

In case of the Association's liability, compensation applies only for direct, personal, and certain damages incurred by the Buyer, excluding indirect or immaterial damages.

The amount of compensation is limited to the price specified at the time of the order. The Association is not responsible for any bodily injury or health damage.

Article 11: Intellectual Property

Reproducing all or part of the Site in any form or for commercial exploitation, even partially, is strictly prohibited without the prior written consent of the Association.

All elements on the Site (visuals, photos, illustrations, codes, descriptions, etc.) are and remain the exclusive property of the Association.

Article 12: Dispute Resolution

These online terms and conditions are governed by French law. In the event of a dispute, an amicable solution will be sought before any legal action. If an amicable resolution is not reached, the competent courts will be those of the domicile of the association.

Article 13: Modifications to the Terms and Conditions

The Association reserves the right to modify these Terms and Conditions at any time. The new Terms and Conditions will apply only to sales made after the modification.
